1． 外資企業(yè)的一切活動都必須遵守中華人民共和國的法律、法令和有關規(guī)定并受其保護。
All activities of the wholly foreignowned enterprise shall comply with and be protected by the laws, decrees, and relevant regulations of the People''s Republic of China．
2． 外資企業(yè)應按照中華人民共和國的法律、法令和有關規(guī)定交納有關稅款。The wholly foreignowned enterprise shall pay the relevant taxes in accordance with the laws, decrees, and relevant regulations of the People’s Republic of China．

在中國設立外資企業(yè)申請表，是在中國設立全部資本為外國投資者所有的外資企業(yè)(又稱獨資企業(yè))向外商投資企業(yè)的審批機構(gòu)報送的法律文件之一。
填寫、使用在中國設立外資企業(yè)申請表，應注意以下幾點：
第一，外商投資企業(yè)的審批機構(gòu)，根據(jù)國務院的授權(quán)分別是對外貿(mào)易經(jīng)濟合作部及省、自治區(qū)、直轄市、計劃單列市、經(jīng)濟特區(qū)等的人民政府。在對外貿(mào)易經(jīng)濟合作部，由外資司負責審批工作。在地方人民政府中，一般由經(jīng)貿(mào)委(廳、局)負責審批工作。該申請表應當通過擬設立外資企業(yè)所在地的縣級或者縣級以上地方人民政府向?qū)徟鷻C關提交。審查批準機關應當在接到申請之日起90天內(nèi)決定批準或者不批準。
第二，設立外資企業(yè)的申請經(jīng)批準后，外國投資者應當在接到批準證書之日起30天內(nèi)向工商行政管理機關申請登記，領取營業(yè)執(zhí)照。
第三，設立外資企業(yè)，必須有利于中國國民經(jīng)濟的發(fā)展，能夠取得顯著的經(jīng)濟效益，并應當至少符合下列一項條件：采用先進技術(shù)和設備，從事新產(chǎn)品開發(fā)，節(jié)約能源和原材料，實現(xiàn)產(chǎn)品升級換代，可以替代進口的；年出口產(chǎn)品的產(chǎn)值達到當年全部產(chǎn)品產(chǎn)值50%以上，實現(xiàn)外匯收支平衡或者有余的。
第四，下列行業(yè)，禁止設立外資企業(yè)：新聞、出版、廣播、電視、電影；國內(nèi)商業(yè)、對外貿(mào)易、保險、郵電通信，以及中國政府規(guī)定禁止設立外資企業(yè)的其他行業(yè)。
第五，下列行業(yè)，限制設立外資企業(yè)：公用事業(yè)；交通運輸；房地產(chǎn)；信托投資；租賃。
第六，申請設立外資企業(yè)，有下列情況之一的，不予批準：有損中國主權(quán)或者社會公共利益的；危及中國國家安全的；違反中國法律、法規(guī)的；不符合中國國民經(jīng)濟發(fā)展要求的；可能造成環(huán)境污染的。
第七，申請設立的外資企業(yè)，其產(chǎn)品涉及出口許可證，出口配額，進口許可證或者屬于國家限制進口的，應當依照有關管理權(quán)限事先征得對外經(jīng)濟貿(mào)易部門的同意。
第八，外國投資者在提出設立外資企業(yè)的申請前，應當就下列事項向擬設立外資企業(yè)所在地的縣級或縣級以上地方人民政府提交報告。報告內(nèi)容包括：設立外資企業(yè)的宗旨：經(jīng)營范圍、規(guī)模；生產(chǎn)產(chǎn)品；使用的技術(shù)設備；產(chǎn)品在中國和國外市場的銷售比例；用地面積及要求；需要用水、電、煤、煤氣或者其他能源的條件及數(shù)量；對公共設施的要求等�？h級或縣級以上地方人民政府應當在收到外國投資者提交的報告之日起30天內(nèi)以書面形式答復外國投資者。
